DIGITAL MARKETING SERVICE AGREEMENT

This Digital Marketing Services Agreement (the "Agreement") is entered into on by and between Twenty West Media Inc. ("Service Provider") and ("Client").

1. Services Provided
The Service Provider agrees to deliver the digital marketing service(s) outlined in the provided quote, which may include, but are not limited to:

- Website Development
- Social Media Marketing
- Search Engine Optimization (SEO)
- Google Ads
- Website Maintenance
- Website Hosting

2. Payment Terms

Monthly Agreements:
- Monthly payments for Social Media Marketing, SEO, Google Ads, Website Maintenance, and Monthly Web Design services are due on the agreed-upon monthly anniversary date and are non-refundable.
- Annual payments for Hosting, Domain, and Domain Privacy services are due on the set anniversary date each year and are non-refundable.

Website Builds (Non-Monthly Plan):
- A 25% deposit is required upon signing this Agreement.
- The remaining balance is due upon the delivery of the completed website, before launch.
- Both the deposit and the final payment are non-refundable.
- After the website launch, the Client has 30 days to request any modifications.
- Post 30 days from the website launch, upkeep is the Client’s responsibility. Alternatively, the Service Provider offers a maintenance contract for ongoing support.

3. Website Maintenance Inclusions (Monthly Plan):
- Website Plugin Updates
- Website Version Updates
- Cloud Backup
- Offline Backup
- Imunify360 Monitoring
- Advanced Firewall
- Advanced Malware Scanner
- Malware Cleaning

4. Fee Change Notice
Any changes to service fees will be communicated with at least 30 days' notice.

5. Agreement Term and Cancellation
- The Agreement commences on the "Effective Date" as stated.
- The Monthly Web Design service requires a minimum 12-month commitment.
- After the initial term, either party may terminate the Agreement with a 30-day written notice.
- The Agreement will auto-renew based on the original term (monthly or annually).
- For the Monthly Web Design plan, ownership of the website remains with Twenty West Media unless otherwise agreed upon and paid in full.
- Hosting for all monthly web design plans must be provided by Twenty West Hosting Services unless a separate arrangement is made.

Note: If the Client is responsible for the ad budget, expenses for Meta, TikTok, and Google Ads will be billed directly by the respective advertising platform.

7. Account Access & Authorization
- The Client authorizes the Service Provider to act on their behalf in all online interactions, including but not limited to social media updates, blog posts, forum discussions, comments, and emails.
- The Service Provider agrees to keep the Client’s URLs, usernames, and passwords confidential and will not share or sell this information to third parties.

Timely Approvals

Oftentimes the Service Provider shall require approvals or inputs from you to create any deliverables as selected by you. Please be aware
that your cooperation is required and we are not responsible for any delays in production related to untimely approvals.

8. Rights to Created Content
- The Client retains the right to all content created by the Service Provider indefinitely. However, the Client may not distribute this content for profit without the Service Provider's written consent.
- The Service Provider retains the right to use content created for the Client for samples, instruction, or other educational purposes.

The Service Provider reserves the right to update content, structure, programs, and materials, with any breach potentially resulting in immediate termination.

9. Confidentiality
- Nondisclosure Obligation: Both parties agree to maintain the confidentiality of all exchanged information, including proprietary business information, trade secrets, pricing, marketing strategies, and client data.
- Exceptions: Confidentiality does not apply to publicly available information or that which becomes public without a breach of this Agreement.

10. Warranties and Disclaimers
THE SERVICE PROVIDER MAKES NO WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. THE SERVICE PROVIDER DISCLAIMS ANY LIABILITY FOR ANY LOSS OR DAMAGE RESULTING FROM THE USE OF THE SERVICES OR DELIVERABLES.

11. Limitation of Liability
NEITHER PARTY SHALL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR EXEMPLARY DAMAGES ARISING FROM THIS AGREEMENT, EVEN IF ADVISED OF SUCH DAMAGES.

12. Governing Law
This Agreement shall be governed and construed in accordance with the laws of the Province of Quebec.

13. Dispute Resolution
Any disputes arising under this Agreement shall be resolved through arbitration per the rules of Arbitration Service. Judgment on the arbitration award may be entered in any court with jurisdiction.

14. Start Date
The effective date of this Agreement is:

IN WITNESS WHEREOF, the parties have executed this Digital Marketing Services Agreement as of the Effective Date.
